1. Accepting these terms

These Terms of Service govern your access to and use of Unstudio's websites, applications, and services. Unstudio is operated by Unstudio Services Private Limited, with its registered office at 602, Sector 13, Urban Estate, Kurukshetra, Haryana, India.

By creating an account, starting a paid plan, or using the service, you agree to these terms. If you use Unstudio for an organisation, you represent that you have authority to bind that organisation, and "you" includes that organisation. If you do not agree, do not use the service.

2. Eligibility and accounts

You must be at least 18 years old and legally able to enter into a contract. You must provide accurate account information, keep access to your account secure, and promptly tell us about suspected unauthorised use. You are responsible for actions taken through your account and for managing access to your workspace.

3. What Unstudio provides

Unstudio provides tools for business research, brand memory, marketing strategy, content generation, review, scheduling, publishing, and related workflows. Features may depend on your plan, location, connected services, and third-party availability. We may improve, replace, or discontinue features, while taking reasonable steps to avoid materially disrupting paid service.

4. Your materials and permissions

You retain ownership of content, trademarks, logos, photos, videos, instructions, and other material you provide, connect, or authorise us to retrieve, together called "Customer Materials." You grant Unstudio a worldwide, non-exclusive, limited licence to host, copy, analyse, modify, display, and transmit Customer Materials only as needed to operate, secure, support, and improve the service for you.

You represent that you have the rights and permissions needed for Customer Materials and for any website or account you ask us to access. You are responsible for ensuring that your use of Customer Materials and generated content complies with law, platform rules, and third-party rights.

5. Website research and connected accounts

When you submit a website, you authorise Unstudio to retrieve and analyse publicly available pages and media for the purpose of providing the service. When you connect a third-party platform, you authorise us to access and use the data and permissions you select, and to perform the actions you request.

Third-party services have their own terms and privacy practices. We are not responsible for their operation, availability, policy changes, or decisions to limit or suspend access. You can disconnect an integration, although previously published content may remain on the third-party platform.

6. AI-generated content and approval

Unstudio uses artificial intelligence to produce recommendations and content. AI output may contain mistakes, similarities to existing material, or claims that require verification. You are responsible for reviewing content before approving or publishing it, including facts, prices, offers, disclosures, trademarks, and rights in media.

Unstudio does not guarantee that generated content will be unique, error-free, legally compliant, or achieve a particular business result. Approval controls reduce risk but do not replace your judgement or professional advice.

7. Scheduling and publishing

If you authorise scheduling or publishing, Unstudio may send approved content to connected platforms at the times shown in your workspace. Delivery can be delayed or fail because of platform outages, expired permissions, account restrictions, connectivity, or other events outside our control. You remain responsible for your connected accounts and can review or change available automation settings.

8. Plans, fees, and cancellation

Paid features, prices, billing intervals, included usage, and taxes are shown at checkout or in an order form. You authorise our payment provider to charge the selected payment method. Subscriptions renew automatically for the same interval unless cancelled before renewal. You may cancel from available account controls or by contacting support. Cancellation stops future renewal and does not normally refund amounts already paid, except where required by law or stated in a written offer.

We may change prices for a future billing period by giving reasonable notice. We may suspend paid features if a payment fails after reasonable attempts to notify you.

9. Acceptable use

You may not use Unstudio to:

  • Violate law, platform rules, or another person's rights.
  • Create or distribute unlawful, deceptive, defamatory, abusive, or harmful material.
  • Impersonate others or misrepresent affiliation, identity, products, or endorsements.
  • Upload malware, probe security, bypass access controls, or interfere with the service.
  • Send spam or conduct marketing without required consent or disclosures.
  • Reverse engineer or systematically extract the service except where law permits it.
  • Resell or provide the service to third parties unless your plan or written agreement permits it.
  • Use automated means in a way that creates unreasonable load or circumvents usage limits.

We may investigate violations and suspend or remove access when reasonably necessary to protect the service or others.

10. Unstudio's intellectual property

Unstudio and its licensors own the service, software, interfaces, designs, documentation, trademarks, and related intellectual property. These terms give you a limited, non-exclusive, non-transferable right to use the service during your account term. They do not transfer ownership of the service or Unstudio branding.

If you give us product feedback, you permit us to use it without restriction or payment. We will not identify you publicly as the source without permission.

11. Confidential information

Each party may receive non-public information from the other. The receiving party will use reasonable care to protect it and use it only for the relationship. This obligation does not apply to information that is public through no breach, independently developed, rightfully received from another source, or required to be disclosed by law.

12. Availability and beta features

We work to keep Unstudio available and reliable, but the service is provided without a guarantee of uninterrupted operation. Beta, preview, and test features may be incomplete, change without notice, and be subject to additional limits. We may perform maintenance, address security issues, and make changes needed for legal or platform compliance.

13. Suspension and termination

You may stop using Unstudio and cancel your account at any time. We may suspend or terminate access if you materially breach these terms, create security or legal risk, fail to pay, or misuse the service. Where practical, we will give notice and an opportunity to cure. Sections that by their nature should continue, including ownership, payment, disclaimers, and liability terms, survive termination.

14. Disclaimers

To the maximum extent permitted by law, the service is provided "as is" and "as available." Unstudio disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing. Nothing in these terms excludes warranties or rights that cannot legally be excluded.

15. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or data, arising from the service. Unstudio's total liability for claims relating to the service will not exceed the amount you paid to Unstudio during the twelve months before the event giving rise to the claim.

These limits do not apply where liability cannot legally be limited, or to fraud, wilful misconduct, or a party's infringement or misuse of the other party's intellectual property.

16. Indemnity

To the extent permitted by law, you will defend and indemnify Unstudio against third-party claims arising from your Customer Materials, your connected accounts, your breach of these terms, or your unlawful use of the service. We will promptly notify you of a claim and reasonably cooperate in the defence.

17. Disputes and governing law

Before filing a formal claim, each party will try in good faith to resolve the dispute by written notice and thirty days of discussion. These terms are governed by the laws of India, without regard to conflict-of-law rules. Subject to applicable law, the courts at Kurukshetra, Haryana will have exclusive jurisdiction over disputes arising out of or relating to these terms or the service. Nothing in this section limits any rights or forum protections that cannot be waived under applicable law.

18. General terms

These terms, the Privacy Policy, and any order form are the agreement between you and Unstudio about the service. If one provision is unenforceable, the rest remain effective. A failure to enforce a provision is not a waiver. You may not assign these terms without our consent, except as part of a merger or sale of substantially all relevant assets. We may assign them as part of a reorganisation, financing, merger, acquisition, or sale.

We may update these terms as the service changes. We will post the revised terms and update the date above. If a material change affects an active paid subscription, we will provide additional notice where reasonably required.
